Please read these Terms of Service ("Terms") carefully before using Nomera AI ("Service") operated by Nomera AI ("us," "we," or "our"). By accessing or using our Service, you agree to be bound by these Terms.

1. Acceptance of Terms

By creating an account and using Nomera AI, you confirm that you are at least 18 years old, have the legal authority to enter into these Terms, and agree to comply with them. If you are using Nomera AI on behalf of a business, you represent that you have authority to bind that business to these Terms.

2. Description of Service

Nomera AI provides an AI-powered bookkeeping platform that includes:

An AI agent that answers financial and bookkeeping questions
Financial document upload and storage
Automated report generation
Access to a human bookkeeping expert for complex matters

3. Not a Licensed Accounting Service

Nomera AI is a technology platform and software service. We are not a licensed accounting firm, CPA, or financial advisor. The information provided by our AI agent is for informational purposes only and does not constitute professional financial, tax, or legal advice. You should consult a licensed professional for advice specific to your situation. Complex matters escalated to our human expert team are reviewed by experienced bookkeeping professionals but do not create a client-accountant relationship.

4. Subscription and Payment

Nomera AI is offered on a subscription basis. By subscribing, you agree to:

Pay the applicable subscription fee at the start of each billing period
Provide accurate and complete payment information
Authorize us to charge your payment method on a recurring basis

All payments are processed by Stripe. We do not store your payment card information. Subscription fees are non-refundable except as required by law or as stated in our refund policy.

5. Free Trial

We may offer a free trial period. At the end of the trial, your subscription will automatically begin and your payment method will be charged unless you cancel before the trial ends.

6. Cancellation

You may cancel your subscription at any time. Upon cancellation, you will retain access to the Service until the end of your current billing period. No refunds are provided for partial periods. Your data will be retained for 90 days after cancellation before permanent deletion.

7. Your Responsibilities

You are responsible for:

Maintaining the confidentiality of your account credentials
All activity that occurs under your account
Ensuring the accuracy of financial data you provide
Complying with all applicable laws and regulations
Not using the Service for any unlawful purpose

8. Prohibited Uses

You may not use Nomera AI to:

Engage in tax evasion or any illegal financial activity
Upload malicious files or attempt to compromise our systems
Resell or sublicense access to the Service
Reverse engineer or attempt to extract our AI models or proprietary technology
Harass or harm other users or our staff

9. Intellectual Property

The Nomera AI platform, including its design, code, and AI systems, is owned by Nomera AI and protected by intellectual property laws. You retain ownership of the financial data and documents you upload. By uploading content, you grant us a limited license to process and analyze it for the purpose of providing our Service.

10. Limitation of Liability

To the maximum extent permitted by law, Nomera AI shall not be liable for any indirect, incidental, special, consequential, or punitive damages resulting from your use of the Service. Our total liability to you for any claims arising from these Terms shall not exceed the amount you paid us in the three months preceding the claim.

11. Disclaimer of Warranties

The Service is provided "as is" without warranties of any kind. We do not warrant that the Service will be error-free, uninterrupted, or that AI-generated responses will be completely accurate. Financial decisions should not be made solely on the basis of AI-generated information.

12. Governing Law

These Terms are governed by the laws of the State of Florida, United States, without regard to its conflict of law provisions. Any disputes shall be resolved in the courts of Miami-Dade County, Florida.

13. Changes to Terms

We reserve the right to modify these Terms at any time. We will provide notice of significant changes by email or through the platform. Continued use of the Service after changes constitutes acceptance of the new Terms.
